Welcome to Mnueron (“Mnueron,” “we,” “our,” or “us”).
These Terms of Service (“Terms”) govern your use of the Mnueron platform, including our website, hosted services, APIs, SDKs, browser extensions, CLI tools, MCP integrations, local software, and related services (collectively, the “Services”).
By accessing or using Mnueron, you agree to these Terms. If you do not agree, do not use the Services.
1. What Mnueron Is
Mnueron is a memory infrastructure platform for AI systems, agents, applications, and developer tools.
Mnueron enables users to:
- Store and retrieve AI memory/context
- Synchronize chat history and memory across environments
- Build persistent AI agents
- Use local-first or cloud-hosted memory systems
- Integrate memory into applications through SDKs and APIs
Certain components of Mnueron are open source and may operate entirely on your local machine without requiring a hosted account.
2. Eligibility
You must be:
- At least 13 years old, or
- The minimum digital age of consent in your jurisdiction
If you use Mnueron on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
3. Accounts and Authentication
Some features require an account.
You agree to:
- Provide accurate information
- Maintain the security of your credentials
- Keep API keys and tokens confidential
- Notify us promptly of unauthorized access
You are responsible for all activity occurring under your account or tokens.
4. Open Source Licensing
A. MIT-Licensed Components
Certain Mnueron client-side components, including portions of the:
- CLI
- MCP server
- SDKs
- Browser extensions
- Local tooling
may be released under the MIT License. You may use, modify, distribute, sublicense, and commercialize those components in accordance with their applicable license terms.
B. Functional Source License (FSL)
Certain hosted backend components may be licensed under FSL-1.1-Apache-2.0.
Under this license:
- You may inspect, modify, and self-host the software for internal or personal use
- You may contribute improvements
- You may not operate the software as a competing hosted memory-as-a-service offering before the conversion date
- Each covered version automatically converts to Apache License 2.0 after the specified conversion period
License files included with the repository control where applicable.
5. Hosted Service License
Subject to these Terms and your subscription plan, Mnueron grants you a limited, non-exclusive, non-transferable, revocable license to use the hosted Services.
You retain ownership of your content, memories, prompts, and stored data. We do not claim ownership over your memories or uploaded content.
6. User Content and AI Data
You are solely responsible for:
- Data you upload or synchronize
- AI prompts and outputs
- Stored memories
- Connected integrations
- Compliance with applicable laws
You represent that you have all necessary rights and permissions for any data processed through Mnueron.
You must not upload or store content that:
- Violates laws or regulations
- Infringes intellectual property rights
- Contains malware or harmful code
- Violates privacy rights
- Facilitates abuse, fraud, harassment, or illegal activity
7. Acceptable Use
You agree not to:
- Abuse or overload the Services
- Attempt unauthorized access
- Circumvent rate limits or quotas
- Reverse engineer hosted-only proprietary components where prohibited
- Interfere with platform security
- Use automated scraping against the Services
- Share API credentials across unrelated users or organizations
- Use Mnueron to build harmful, deceptive, or unlawful systems
We reserve the right to investigate and suspend abusive activity.
8. Local Mode
Mnueron may provide a local-only operating mode.
In Local Mode:
- Data may remain entirely on your device
- Mnueron may not have access to your memories or history
- You are fully responsible for:
- Security
- Backups
- Data recovery
- Device protection
We cannot recover locally stored data if lost or corrupted.
9. Billing and Payments
A. Free Local Usage
Local Mode may be used free of charge unless otherwise stated. No subscription is required for eligible local functionality.
B. Paid Hosted Plans
Hosted services may require a subscription.
Subscriptions may include:
- Monthly billing
- Annual billing
- Usage-based pricing
- Storage limits
- API quotas
- Team or enterprise tiers
Payments are processed through Stripe or other payment providers.
By subscribing, you authorize recurring charges according to your selected plan.
C. Failed Payments
If payment fails:
- We may retry billing
- Hosted access may be suspended after a grace period
- Local functionality may continue operating independently where applicable
D. Refunds
Unless required by law:
- Payments are non-refundable
- Partial billing periods are not prorated
- Cancellation becomes effective at the end of the current billing cycle
10. Availability and Service Levels
We aim to provide reliable hosted Services but do not guarantee uninterrupted availability.
Unless covered by a separate written SLA agreement:
- Services are provided on a commercially reasonable basis
- Downtime, outages, maintenance, or data delays may occur
Local deployments remain under your own operational control.
11. Third-Party Services and AI Providers
Mnueron may integrate with third-party services including AI model providers, cloud platforms, databases, or external APIs.
Examples may include:
Your use of third-party services may also be governed by their own terms and policies.
Mnueron is not responsible for outages, pricing changes, or actions of third-party providers.
12. Privacy
Your use of the Services is also governed by the Mnueron Privacy Policy. Please review it carefully.
13. Data Retention and Deletion
You may delete your account at any time.
Following termination or deletion:
- Some information may remain temporarily in backups
- Minimal records may be retained for:
- Legal compliance
- Fraud prevention
- Security investigations
- Billing disputes
Retention periods may vary depending on operational or legal requirements.
14. Intellectual Property
Except for:
- Open-source components
- User content
- Third-party content
all rights, title, and interest in the Services remain the property of Mnueron and its licensors.
Nothing in these Terms transfers ownership of proprietary hosted systems, trademarks, branding, or service infrastructure.
15. Feedback
If you submit ideas, suggestions, or feedback, you grant Mnueron a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without restriction or compensation.
16. Beta Features
Certain features may be marked as:
- Beta
- Experimental
- Preview
- Alpha
These features may:
- Change without notice
- Be unstable
- Contain bugs
- Be discontinued at any time
Use them at your own risk.
17. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind.
We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Reliability
- Accuracy
- Security
- Availability
AI-generated outputs, retrieval systems, embeddings, and memory recall mechanisms may be inaccurate, incomplete, delayed, or incorrect.
Mnueron is not a guaranteed system of record.
You are responsible for maintaining independent backups of critical data.
18. Limitation of Liability
To the maximum extent permitted by law:
Mnueron shall not be liable for:
- Indirect damages
- Lost profits
- Lost business opportunities
- Data loss
- AI hallucinations or incorrect outputs
- Service interruptions
- Security incidents
- Consequential or punitive damages
Our total aggregate liability for claims arising out of or related to the Services shall not exceed the greater of:
- $100 USD, or
- The amount you paid Mnueron during the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
19. Indemnification
You agree to indemnify and hold harmless Mnueron, its affiliates, employees, contractors, and partners from claims, damages, liabilities, and expenses arising from:
- Your use of the Services
- Your content or stored data
- Your violations of these Terms
- Your violation of applicable laws or third-party rights
20. Suspension and Termination
We may suspend or terminate access if:
- You violate these Terms
- Your use threatens platform security or stability
- Required by law
- Necessary to prevent abuse or harm
You may stop using the Services at any time.
Sections intended to survive termination shall remain in effect.
21. Export Compliance
You agree to comply with applicable export control and sanctions laws.
You may not use the Services in prohibited jurisdictions or for prohibited purposes under applicable law.
22. Governing Law
These Terms are governed by the laws of:
- The State of Florida
- The United States of America
without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in Florida.
You consent to personal jurisdiction in those courts.
23. Changes to These Terms
We may update these Terms periodically.
If material changes occur, we may provide notice through:
- Dashboard notifications
- Website announcements
Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
